These Terms of Service (the “Terms”) govern your access to and use of the Numbrix website, applications, and related services (collectively, the “Service”) provided by Numbrix (“Numbrix,” “we,” “us,” or “our”). Please read them carefully.

1. Acceptance of terms

By creating an account, accessing, or using the Service, you agree to be bound by these Terms and by any policies referenced within them. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization. If you do not agree to these Terms, you may not use the Service.

2. Description of service

Numbrix provides cloud-based accounting and financial-operations software, including features for bookkeeping, billing, payables, reporting, and cash visibility. We may add, modify, or remove features over time, and we may impose limits on certain features or restrict access to parts of the Service without notice or liability.

3. Accounts & eligibility

To use most features you must register an account and provide accurate, current information. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You must promptly notify us of any unauthorized use. You must be at least the age of majority in your jurisdiction and legally able to enter into a binding contract to use the Service.

4. Subscriptions, trials & billing

The Service is offered on a subscription basis. Unless stated otherwise:

  • Fees, billing cycles, and plan features are described at the point of purchase, and subscriptions renew automatically until canceled.
  • Free trials, where offered, may convert to a paid plan at the end of the trial period unless you cancel beforehand.
  • You authorize us and our payment processor to charge your payment method for applicable fees and taxes.
  • Except where required by law, fees are non-refundable, and you remain responsible for charges incurred before cancellation.

5. Acceptable use

You agree not to misuse the Service. Among other things, you may not:

  • Use the Service for unlawful, fraudulent, or harmful purposes.
  • Attempt to gain unauthorized access to the Service, other accounts, or related systems.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Reverse engineer, copy, or resell the Service except as permitted by law.
  • Upload malicious code or content that infringes the rights of others.

6. Customer data & ownership

You retain all rights to the data, records, and content you submit to the Service (“Customer Data”). You grant us a limited license to host, process, and use Customer Data solely to operate, maintain, secure, and improve the Service and to provide support. You are responsible for the accuracy and legality of Customer Data and for maintaining your own backups where appropriate.

7. Intellectual property

The Service, including its software, design, text, and trademarks, is owned by Numbrix or its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service. No rights are granted other than those expressly stated here.

8. Third-party services

The Service may integrate with or rely on third-party services, such as hosting providers and payment processors. Your use of those services may be subject to their own terms, and we are not responsible for their acts, omissions, or availability. We do not endorse and are not liable for any third-party products or content.

9. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free. Numbrix is a software tool and does not provide financial, tax, accounting, legal, or investment advice. You are solely responsible for your financial decisions and for compliance with applicable laws.

10. Limitation of liability

To the maximum extent permitted by law, Numbrix and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the twelve months preceding the event giving rise to the claim.

11. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you violate these Terms, fail to pay fees, or create risk or legal exposure for us. Upon termination, your right to use the Service ends. We may delete Customer Data after a reasonable period, so please export anything you wish to keep before your account closes.

12. Changes to the terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice, such as by posting the updated Terms with a new effective date or notifying you within the Service. Your continued use after the changes take effect constitutes acceptance of the revised Terms.

13. Governing law

These Terms are governed by the laws of the United States and of the applicable state in which Numbrix is established, without regard to conflict-of-laws principles. You agree to the exclusive jurisdiction of the courts located there for any dispute that is not subject to an alternative resolution process.
